چارچوب حقوقی تنظیم شروط پلتفرمی در عصر الگوریتم‌ها با تاکید بر اتحادیه اروپا

چکیده
با گسترش قراردادهای داده‌محور و رشد روزافزون پلتفرم‌های دیجیتال، الگوریتم‌ها به‌عنوان عامل تعیین‌کننده در شکل‌دهی شروط قراردادی و هدایت اراده طرفین، کارکرد قواعد سنتی حقوق قراردادها را با چالش مواجه کرده‌اند. این پژوهش با رویکرد تحلیلی-تطبیقی، چارچوب‌های حقوقی حاکم بر تنظیم‌گری قراردادهای الگوریتمی در اتحادیه اروپا را مورد بررسی قرار داده و امکان انطباق آن‌ها با نظام حقوقی ایران را ارزیابی می‌کند. مسئله اصلی تحقیق به نحوه تأثیر الگوریتم‌ها بر رضایت و توافق طرفین، بررسی عدم تقارن اطلاعاتی و محدودیت‌های مقررات قراردادی موجود در محیط دیجیتال مرتبط است.روش تحقیق بر پایه تحلیل تطبیقی متون قانونی، دستورالعمل‌ها و مقررات اتحادیه اروپا، و همچنین منابع علمی فارسی و انگلیسی درباره شروط غیرمنصفانه و الزامات شفافیت پلتفرم‌ها طراحی شده است. هدف پژوهش استخراج نقاط قوت و ضعف سازوکارهای اروپایی و ارائه چارچوبی عملی، منطبق با شرایط حقوقی ایران است.یافته‌ها نشان می‌دهد که الگوریتم‌ها نقش قابل توجهی در تنظیم شروط و جهت‌دهی اراده طرفین دارند؛ با این حال، فقدان شفافیت، محدودیت‌های اطلاع‌رسانی و نبود نظارت مؤثر، ریسک سوءاستفاده و تشدید عدم تقارن اطلاعاتی را افزایش می‌دهد. در اتحادیه اروپا، الزام به افشای قواعد الگوریتمی و ایجاد سازوکارهای نظارتی مستقل موجب محدودسازی اثرات مخرب الگوریتم‌ها و تقویت عدالت قراردادی شده است. در مقابل، حقوق ایران با پیش‌بینی الزامات شفافیت فرآیندها، ارتقای سواد دیجیتال کاربران و ایجاد نهادهای نظارتی می‌تواند زمینه پذیرش مؤثر این مدل تنظیم‌گری را فراهم آورد.نتیجه‌گیری پژوهش نشان می‌دهد که ترکیب چارچوب‌های تنظیم‌گری الگوریتمی با نظارت نهادی و آموزش کاربران، ضمن تضمین مشروعیت و عدالت قراردادهای داده‌محور، ظرفیت نوآوری و توسعه نظام قراردادی دیجیتال را در ایران ارتقا می‌دهد.

Legal Framework for Regulating Platform Terms in the Age of Algorithms with Emphasis on the European Union

چکیده English

. This study, adopting an analytical-comparative approach, examines the legal frameworks governing the regulation of algorithmic contracts in the European Union and evaluates the possibility of adapting these frameworks to the Iranian legal system. The main issue addressed in this research concerns the impact of algorithms on the consent and agreement of contracting parties, as well as the examination of information asymmetry and the limitations of existing contractual regulations in digital environments.The research methodology is based on a comparative analysis of legal texts, directives, and regulations of the European Union, alongside Persian and English scholarly sources concerning unfair terms and transparency requirements for digital platforms. The objective of the study is to identify the strengths and weaknesses of European regulatory mechanisms and to propose a practical framework compatible with Iran’s legal conditions. The findings indicate that algorithms play a significant role in determining contractual terms and influencing the parties’ intentions. However, the lack of transparency, insufficient disclosure mechanisms, and inadequate supervision increase the risks of abuse and exacerbate information asymmetry. In the European Union, obligations concerning the disclosure of algorithmic rules and the establishment of independent supervisory mechanisms have contributed to limiting the harmful effects of algorithms and strengthening contractual fairness. In contrast, Iranian law, through the adoption of transparency requirements, enhancement of users’ digital literacy, and creation of supervisory institutions, could facilitate the effective implementation of such regulatory models. The study concludes that combining algorithmic regulatory frameworks with institutional oversight and user education can both ensure the legitimacy and fairness of data-driven contracts and enhance the capacity for innovation and development within Iran’s digital contractual system
