This study employs a descriptive–analytical methodology and a comparative approach to examine the possibility of recognizing the legal personality of DAOs under Iranian law. To this end, the technical and legal nature of DAOs and their relationship with traditional concepts such as legal personality, commercial companies, and contracts are first analyzed. Subsequently, selected legislative models, including the Wyoming DAO LLC Act in the United States, as well as the approaches adopted by the European Union, Switzerland, and Singapore, are examined. The findings indicate that although DAOs differ fundamentally from traditional legal entities in certain respects—particularly regarding centralized management and the attribution of legal will—they can nonetheless be accommodated within the existing capacities of Iranian private law. In particular, the principles of freedom of contract, legal personality, and the rules governing commercial companies provide a basis for their gradual and conditional recognition. Furthermore, the study concludes that the most appropriate approach for the Iranian legal system is the indirect recognition of DAOs through existing legal institutions, followed by the development of specialized regulations tailored to decentralized governance structures.
